1. Overview

Santa Cruz Rewards (“Company,” “we,” “our,” or “us”) provides a marketing and customer engagement platform designed specifically for restaurants. Our services include SMS/text messaging campaigns, customer list management, promotional tools, and related automation features.

By accessing or using our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service.

2. Services Provided

Santa Cruz Rewards provides:

  • SMS/text marketing systems
  • Customer engagement and retention tools
  • Promotional campaign delivery
  • Admin interface for managing specials and offers
  • Optional AI-assisted communication tools (Elite Package)

We reserve the right to modify, suspend, or discontinue any part of the service at any time

3. Eligibility & Use

You agree that:

  • You are at least 18 years old
  • You operate a legitimate business (primarily restaurants or food service)
  • You will use the service only for lawful purposes
  • You will comply with all applicable laws, including SMS marketing regulations (TCPA, CAN-SPAM, etc.)

4. SMS Compliance & Consent

You are solely responsible for:

  • Obtaining express consent from customers before sending SMS messages
  • Maintaining proper opt-in records
  • Honoring opt-out requests (e.g., STOP replies)

Santa Cruz Rewards provides tools to facilitate compliance but does not assume liability for your misuse.

5. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity conducted under your account
  • Ensuring your promotions and content are accurate and lawful

6. Fees & Billing

  • Services are billed monthly unless otherwise stated
  • Setup fees may apply
  • Additional SMS usage beyond plan limits will be billed accordingly
  • All fees are non-refundable unless otherwise agreed in writing

Failure to pay may result in suspension or termination of services.

7. Acceptable Use Policy

You agree NOT to use the platform to:

  • Send spam or unsolicited messages
  • Promote illegal, misleading, or deceptive offers
  • Harass, abuse, or harm individuals
  • Violate any local, state, or federal regulations

We reserve the right to suspend accounts violating these terms.

8. Data Ownership

  • You retain ownership of your customer data
  • You grant us a limited license to process and transmit data as required to provide services
  • We do not sell your customer data

9. Service Availability

We strive for reliable service but do not guarantee uninterrupted access.
We are not liable for:

  • Carrier delays or failures
  • Third-party outages
  • SMS delivery issues outside our control

10. Limitation of Liability

To the fullest extent permitted by law:

Santa Cruz Rewards shall not be liable for any indirect, incidental, or consequential damages, including lost revenue or profits resulting from use of the service.

11. Termination

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay fees
  • Your use creates legal or operational risk

You may cancel your service at any time, but fees already paid are non-refundable.

12. Changes to Terms

We may update these Terms at any time. Continued use of the service constitutes acceptance of the updated Terms.
